Marks and Spencer's shareholders are drawing up a resolution for July's annual investor gathering that allows them to vent their anger over Sir Stuart Rose's recent promotion without having to personally attack their new executive chairman.

Pirc, the investor body, is privately telling members that a vote against the combination of the chief executive and chairman roles at the AGM would be better than their other protest option: voting against Sir Stuart's re-election
